The Ministry of Finance of the Russian Federation clarified the special procedure for transactions with shares in the authorized capital of LLC

It is reported that the procedure established by paragraph 1 of Presidential Decree No. 618 dated 09/08/2022 does not apply to transactions (operations) that do not directly and (or) indirectly entail the establishment, change or termination of rights of ownership, use and (or) disposal of shares in the authorized capital of LLCs (except for credit and non-credit financial organizations) registered in the manner established by Federal Law dated 08.08.2001 N 129-FZ “On State Registration of Legal Entities and Individual Entrepreneurs”, or other rights that allow determining the conditions for managing such companies and (or) conditions for their business activities.
